ARBITRATION AGREEMENT

This Arbitration Agreement significantly affects your rights in any dispute with us. Please read this Arbitration Agreement carefully before you sign it.

1. EITHER YOU OR WE MAY CHOOSE TO HAVE ANY DISPUTE BETWEEN US DECIDED BY ARBITRATION AND NOT IN COURT.

2. IF A DISPUTE IS ARBITRATED, YOU AND WE WILL EACH GIVE UP OUR RIGHT TO A TRIAL BY THE COURT OR A JURY TRIAL.

3. IF A DISPUTE IS ARBITRATED, YOU WILL GIVE UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US.

4. THE INFORMATION YOU AND WE MAY OBTAIN IN DISCOVERY FROM EACH. OTHER IN ARBITRATION IS GENERALLY MORE LIMITED THAN IN A LAWSUIT.

5. OTHER RIGHTS THAT YOU AND WE WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.

In this Arbitration Agreement, "you" and "your" refer to the customer(s) signing below, and "we,' "us" and "our" refer to the Seller/Lessor signing below. This Arbitration Agreement is, by this reference, incorporated into and becomes a part of the Retail Installment Contract and/or Purchase Agreement or Lease Agreement and/or Lease Order between you and us signed on the date below.

Any claim or dispute, whether in contract, tort or otherwise (including the interpretation and scope of this clause and the arbitrability of any issue), between you and us or our employees, agents, successors or assigns, which arises out of or relates in any manner to the purchase, financing, or lease of your vehicle or any resulting transaction or relationship (including any such relationship with third parties who do not sign this Arbitration Agreement, such as an assignee of the Contract or Lease Agreement) shall, at your or our election (or the election of any such third party), be resolved by neutral, binding arbitration and not by a court action. Any claim or dispute is to be arbitrated on an individual basis and not as a class action. You expressly waive any right you may have to arbitrate a class action. This is called the "class action waiver."

ARBITRATION AGREEMENT, continued

You may choose the applicable rules of the American Arbitration Association ("AAA"), JAMS, or another arbitration organization, subject to our approval. We waive the right to require you to arbitrate an individual claim if the amount you seek to recover qualifies as a small claim under applicable law. You may obtain a copy of the rules of the AAA by visiting its web site (www.adr.org) or of JAMS by visiting its website (www.jamsadr.com). You can also refer to the websites to learn how to file for arbitration.

The arbitrators shall be attorneys or retired judges and shall be selected in accordance with the applicable rules of the chosen arbitration organization. The arbitrator shall apply substantive governing law and the applicable statute of limitations. The arbitration award shall be in writing. The arbitration hearing shall be conducted in the federal judicial district in which you reside, or such other place convenient to you as required by the rules of the chosen arbitration organization. If you demand arbitration first, you will pay the filing fee if the chosen arbitration organization requires it. We will advance and/or pay any other fees and costs required by the rules of the chosen arbitration organization.

The arbitrator's award shall be final and binding on all parties. There shall be a limited right to appeal to the extent allowed by the Federal Arbitration Act. The amount we pay may be reimbursed in whole or in part by decision of the arbitrator if the arbitrator finds that any of your claims is frivolous.

This Arbitration Agreement relates to an agreement that evidences a transaction involving interstate commerce. Any arbitration under this Arbitration Agreement shall be governed by the Federal Arbitration Act(9 U.S.C. § 1 et. seq.).

If any part of this Arbitration Agreement other than the Class Action Waiver is found by a court or arbitrator to be unenforceable, the remainder shall be enforceable. If the Class Action Waiver is found by a court or arbitrator to be unenforceable, the remainder of this Arbitration Agreement shall be unenforceable. This Arbitration Agreement shall survive the termination of any contractual agreement between you and us, whether by default or repayment in full.

Neither you nor we waive the right to arbitrate by exercising self-help remedies, filing suit, or seeking or obtaining provisional remedies from a court. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

PASSTIME GPS

In this PassTime System Disclosure Statement and Agreement for Installation (“Agreement”), “we,” “us” and “our” mean the creditor that holds the Contract secured by the Vehicle, and any of our designated employees, agents or representatives. “You” and “your” mean the buyer(s) or borrower(s) named above.

You signed a Retail Installment Sale Contract or Loan (“Contract”) in connection with your installment purchase of the vehicle described above (“Vehicle”), dated the same date as this Agreement. We require that the Vehicle be equipped with the PASSTIME DEVICE (the “Device”) for us to make this Contract with you. The Device is designed to ensure that you make your payments as scheduled in the Contract or otherwise keep your promises in the Contract. We do not charge you for installation or our use of the Device for payment assurance purposes.

The Device installed in the Vehicle has GPS. Please see a summary of terms of this Agreement below.

• A Device with GPS tracking can determine the location of your vehicle.

• The GPS will be used to ensure the GPS is still functioning, to monitor your compliance with the Contract, and to locate the Vehicle for repossession.

• We may use the GPS to monitor the location and mileage of the Vehicle during the Contract.

• The Creditor or its designated assignee or representative will not provide you or any other person any access or record of the tracking unless required to do so by law, or to enforce any rights Creditor or its designated assignee or representative may have to secure payment of any payments due under any contract between us and/or to secure repossession of the Vehicle as allowed.

• You agree to waive any right to privacy you may have as to the location of the Vehicle.

• A properly installed Device will not disable your Vehicle while the engine is running.

• The GPS may be used to assist law enforcement agencies if law enforcement personnel request us to locate a Vehicle.

• We may offer you one or more Optional Services using the GPS technology. We may offer optional services in this Agreement or over the term of the Contract. Optional Services are not required as a condition of the extension of credit.

PLEASE READ AND SIGN BELOW TO INDICATE YOUR UNDERSTANDING AND ACCEPTANCE OF THE FOLLOWING TERMS REGARDING THE INSTALLATION OF THE DEVICE, YOUR OBLIGATIONS UNDER THE CONTRACT AND THE CONSEQUENCES OF FAILING TO MEET YOUR OBLIGATIONS UNDER THE CONTRACT:

1) You understand that installing and maintaining the Device in the Vehicle is a material condition for us to finance the purchase of the Vehicle and that you may be able to finance a vehicle from another creditor that may not require installation of the Device. You choose to buy this Vehicle and you consent to having the Device installed. You acknowledge you are signing this Agreement at the same time you are signing the Contract. This Agreement is incorporated into and part of that Contract as a single document.

2) You have been provided with the PASSTIME CUSTOMER OPERATING INSTRUCTIONS (if any), which explain how the Device operates, your obligations with respect to the use of the Device, as well as a 24-hour 1-800 number. You have been provided with a 24-hour hotline number and may have been provided a Customer card. If you are in an emergency and your vehicle is disabled, dial 911.

3) DEVICE HAS GPS: You understand the Device will be used by us to track the location of the Vehicle to ensure the GPS is still functioning, to monitor your compliance with the Contract, and to locate the vehicle for repossession. We may also use the GPS to monitor the location of the vehicle prior to default. We can use previously acquired location data for purposes of repossession. You agree that you have no right to privacy regarding the use of GPS to track the location of the Vehicle, but in the event that a court, arbitrator, dispute resolution organization, or state or federal authority should determine that you have a right to privacy, you hereby waive that right to the fullest extent allowed by applicable law.

4) You understand if law enforcement personnel make a request that we locate a vehicle including as part of any investigation, you agree we may do this and waive any right to privacy you may otherwise have.

5) You understand that the Device is our property. You further understand that if you tamper with, alter, disconnect or remove the Device, you will be considered in default under this Agreement, and to the extent permitted by applicable law, your Contract.

6) You understand that if you tamper with, alter, disconnect or remove the Device from the Vehicle, you may be liable for the cost to replace or repair the Device, unless prohibited by law. You understand that tampering, altering, or otherwise modifying the device or its installation may present a risk to you, others, and the vehicle due to fire or other cause, including potential risks of property damage and personal injury, including death.

7) You understand that the Device may receive commands wirelessly from us. You understand that in areas with poor wireless coverage, a command sent to your device may not be received.

8) You understand that we have the right to assign our rights, title and interest in the Contract and this Agreement at any time. Our assignment of the Contract will not in any way affect the terms and conditions of this Agreement.

9) You understand that only we are permitted to perform maintenance on the Device or any of its components. Should maintenance or repair be required, you agree to make the Vehicle available to us, during our normal business hours. You understand that we take full responsibility for the cost of all repairs to the Device, except for repairs caused by your tampering with, altering, disconnecting or removing the Device.

10) You understand that you may choose to purchase the Device after you have made all payments due under the Contract at a price to be determined and agreed upon by you and us. If you choose to purchase the Device after paying all sums due under the Contract, you will contact us. If you do not choose to purchase the Device at that time, and if you are not using the device for Optional Services, we will remove the Device from the Vehicle or render the Device inoperable (at our sole option and at no charge to you) so that it will have no effect on the operation of the Vehicle.

11) Any violation of any terms or conditions of this Agreement is a material default under the Contract, if permitted by applicable law. Upon any default under this Agreement or violation of the terms and conditions herein, we will be entitled to take any and all actions, including but not limited to repossession and sale of the Vehicle, as allowed by applicable law and your Contract.

12) You understand that we may not charge you for installation or our use of the Device for payment assurance purposes including repossession.

13) You understand the Device allows us to track the mileage of the Vehicle (“Mileage Tracker”) to allow us to manage our inventory. You agree to allow this function to track the Vehicle mileage for all lawful purposes. You agree that you have no right to privacy regarding the use of the Mileage Tracker to track the mileage of the Vehicle, but in the event that a court, arbitrator, dispute resolution organization, or state or federal authority determines that such a right exists, you hereby waive such right to the fullest extent possible. If you have signed a Warranty or Service Contract for the Vehicle, you also agree that the Mileage Tracker may be used to allow us to comply with the terms of this Agreement, or any Warranty or Service Contract.

There are many reasons why a check engine light can come on. Most times it's something simple like a loose gas cap which would not be covered by your limited warranty.

Our service team will gladly perform a diagnostic to determine the reason(s) the check engine light was triggered. If the repair is covered by our limited warranty, you will only owe the $100 deductible. If the repair is not covered, you will be given an estimate to complete the repairs, or you may pay an approximate diagnostic fee of $100 to repair the vehicle yourself.

The the deductible is the amount YOU are required to pay per visit for any warranty repairs.

DEDUCTIBLE AMOUNT: $100.00 per visit

TOWING FEES - 100 MILE MAXIMUM COVERAGE:

Auto City will cover the cost of towing your vehicle to our service center or a service center of our choosing if it is determined that the leading cause of the vehicle being inoperable is due to a repair covered by your limited warranty, provided the origination of the tow is within 100 miles of our closest service center.

Customer is responsible for reimbursing Auto City for any fees incurred for towing from beyond the 100 mile maximum allowed radius, or if it is later determined that it was not a warranty covered repair that caused the vehicle to be inoperable in the first place.

Upon payment of the deductible amount per repair visit and before the expiration of this Limited Warranty, the Selling Dealer will make the necessary repairs to components listed under COVERED COMPONENTS in the PRE-OWNED VEHICLE LIMITED WARRANTY ENROLLMENT AND REGISTRATION which will be provided to you by your sales representative. Replacement of any part may be made with parts of like kind and quality at the time of the breakdown, including remanufactured or used parts.

• Policy must be a "STANDARD POLICY," with no excluded drivers

If at any time you fail to provide evidence of an active policy meeting these requirements, we may insure our interest in the financed auto under our Collateral Protection Insurance (CPI) policy. The cost of this coverage will be charged to your account.

You will be responsible for reimbursing the dealer for the cost the CPI policy. If you obtain your own insurance after CPI coverage has been added to protect your vehicle, the CPI coverage will be cancelled as of the effective date of your new insurance policy.

If your vehicle is ineligible for CPI coverage, and you fail to maintain comprehensive and collision insurance acceptable to the dealer, your retail installment contract will be considered in default of its terms and conditions. CPI PREMIUMS:

Premiums for eligible vehicles are based on the amount financed, and are subject to change with a 30-day notice.

If the amount financed is $22,995 or less, premiums are as follows:

• Semi-monthly Premium Payment: $75.83
• Monthly Premium Payment: $151.66
• Deductible Per Claim: $500.00 (Amount you pay out of pocket)

If the amount financed is between $23,995 and $29,995 premiums are as follows:

• Bi-Weekly Premium Payment: $110.00
• Semi-monthly Premium Payment: $119.17
• Monthly Premium Payment: $238.33
• Deductible Per Claim: $500.00 (Amount you pay out of pocket)

If the amount financed is $30,995 or greater, the vehicle may not be eligible for dealer provided CPI. (See OPTION A - Customer Provided Full Coverage Insurance)

INSURANCE REQUIREMENTS, continued

CPI TERMS AND CONDITIONS:

1. We are the Insured. Our CPI policy provides single interest coverage and does not directly protect your interest in the same way as your own insurance would. Claim payments made under our CPI policy will be made to us and will be credited to your loan obligation or used to repair the financed auto, at our discretion. In the event of a covered loss, our CPI policy will pay the lesser of (a) the cost to repair or replace the financed auto, (b) the actual cash value of the financed auto, or (c) the outstanding loan balance at the time of loss. A deductible applies to each loss.

2. The premium that will be charged to your account may be more expensive than physical damage insurance purchased by you, and our CPI policy coverage may expire before your loan agreement is paid off.

3. Licensed insurance agents may receive compensation from part of the premium charged to your loan agreement for our CPI policy coverage.

4. If at any time you provide us with evidence of required insurance obtained by you, we will cancel our CPI coverage. The unearned portion of the premium, if any, will be credited to your loan obligation.

5. The CPI policy does not provide bodily injury or property damage liability insurance. You must obtain this coverage on your own.

6. If you do not provide evidence of physical damage insurance before taking possession of the financed auto, CPI coverage will be placed (14) days after the date of your loan agreement and will be retroactive to the date of the loan agreement. However, if you provide evidence that you have obtained the required insurance on your own at any time during the first fourteen (14) days of the loan agreement, you will not be charged.
